Terms of Service

These terms govern your business's use of RPLY, operated by RPLY.

1. Acceptance

By creating an account or using the service you agree to these terms. If you accept on behalf of a business, you confirm you are authorised to bind that business.

2. Eligibility and business use

You must be at least 18 and use the service for a legitimate business. The service is not intended for personal or household use.

3. Accounts and security

You are responsible for the accuracy of your account details, for your team's access, and for keeping credentials secure. Tell us promptly if you suspect unauthorised access.

4. Authorised and prohibited use

Use the service only to communicate with people who contacted your business or who agreed to hear from you. Our Acceptable Use Policy forms part of these terms.

5. Messaging, telephony and consent

  • You are responsible for complying with the messaging laws and carrier rules that apply to your business.
  • You must have a lawful basis and, where required, consent to text the people you contact.
  • Opt-out requests such as STOP must be honoured, and the service will stop messaging an opted-out contact.
  • Message delivery depends on carriers and networks and cannot be guaranteed, delivered in order, or delivered at a specific time.
  • Message and data rates may apply to your customers.

Our Messaging Policy sets out the detail and also forms part of these terms.

6. Third-party integrations

Telephony, calendar and payment integrations are provided by third parties under their own terms. We are not responsible for their availability, accuracy or changes.

7. Automated responses, quotes and bookings

  • Automated replies are generated from the information you configure and can be inaccurate or incomplete.
  • Price ranges and estimates are indicative only and are not binding offers unless you confirm them.
  • Bookings created through the service are requests against your configured availability; you are responsible for honouring or rescheduling them.
  • You control what is answered automatically, what waits for your approval, and what goes to a person.

8. Subscriptions, trials and renewal

  • Plans are billed monthly in advance at the price shown at checkout, plus applicable taxes.
  • The free trial lasts 30 days. Billing starts at the end of the trial unless you cancel before it ends.
  • Subscriptions renew automatically each month until cancelled.
  • Each plan includes a monthly allowance of unique customer conversations; conversations beyond the allowance are charged at the published overage rate.
  • Cancelling stops the next renewal; access continues until the end of the paid period.
  • Payments already made are generally non-refundable, except where required by law or agreed in writing.

If you subscribed through Apple, Apple handles billing, renewal and cancellation for that subscription and you manage it in your Apple account settings.

9. Service availability

We aim to keep the service available but do not guarantee uninterrupted operation. Maintenance, third-party outages and network issues can affect it.

10. Your data and our intellectual property

You keep ownership of your business and customer data. You grant us the permissions needed to host and process it to run the service. We keep ownership of the software, brand and everything we provide. Feedback you send us may be used without obligation to you.

11. Suspension and termination

We may suspend or terminate an account for non-payment, abuse, unlawful messaging or risk to the service or other users. You may stop using the service and delete your account at any time.

12. Disclaimers

The service is provided "as is" without warranties of any kind to the extent permitted by law. We do not warrant that automated responses will be accurate or that every message will be delivered.

13. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental or consequential losses, lost profits or lost business, and our total liability is limited to the amount you paid in the twelve months before the claim.

14. Indemnification

You will defend and indemnify us against claims arising from your messaging, your customer data, or your breach of these terms.

15. Governing law and disputes

The law that applies is the law of the place where the operator of the service is established. If you have a dispute, contact us first at support@justrply.com and we will try to resolve it with you directly.

16. Changes to these terms

We may update these terms. Material changes will be notified to account owners, and continued use after the effective date means you accept them.
